Terms of Service
Back Office Agent by UC Bureau — Effective April 7, 2026
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the UC Bureau Back Office Agent ("Service"), operated by UC Bureau ("we," "us," or "our"). By accessing, registering for, or using any part of the Service, you ("Carrier," "you," or "your") agree to be bound by these Terms, the Privacy Policy, and the Liability Disclaimer. If you do not agree, do not use the Service. You represent and warrant that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of the motor carrier entity you represent.
2. Service Description
The Service is an AI-powered back-office management platform for motor carriers, delivered via a Telegram messaging interface and a web-based chat dashboard. The Service provides five (5) specialized AI agents: (a) Dispatch Agent — load search, rate analysis, lane recommendations, and booking assistance; (b) Safety Agent — FMCSA compliance monitoring, ELD integration, permit and insurance tracking; (c) Accounting Agent— invoicing, expense tracking, IFTA estimation, P&L reporting, and QuickBooks synchronization; (d) Collections Agent — accounts receivable tracking, payment reminders, and aging reports; and (e) Manager Agent — fleet-wide dashboards, cross-agent coordination, and business intelligence.
3. Registration and Identity Verification
You must provide accurate and complete information during registration, including your legal company name, MC or USDOT number, email address, and Telegram account. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
UC Bureau may require email verification to activate your account. Accounts that remain unverified for more than thirty (30) calendar days may be suspended. UC Bureau will send a warning notification at least seven (7) days before any suspension for non-verification. Data associated with suspended unverified accounts will be retained for ninety (90) calendar days following suspension, after which it will be permanently deleted.
4. Free and Paid Tiers
The Service is offered in two tiers: (a) a Free tier providing up to 150 AI-generated messages per month and 10 FMCSA lookups per month; and (b) a Paid tier with expanded limits and premium features at a price of forty-nine dollars ($49) per month. The Paid tier includes a fourteen (14) day free trial period.
We reserve the right to modify tier features, pricing, and usage limits at any time with 30 days' written notice to your registered email address. Continued use of the Service after such notice constitutes acceptance of the modified terms.
5. Carrier Responsibilities
You are solely and exclusively responsible for: (a) maintaining valid operating authority with the FMCSA; (b) compliance with all applicable federal, state, and local laws, regulations, and ordinances; (c) the accuracy and completeness of all information you provide to the Service; (d) maintaining valid subscriptions with all third-party services you connect to the Service; (e) all decisions made based on information, recommendations, or outputs generated by the Service, including but not limited to load selection, rate acceptance, routing, compliance actions, and financial reporting; and (f) all tax obligations, including filing, reporting, and payment.
6. Regulatory Disclaimers
UC Bureau is NOT a licensed freight broker, freight forwarder, or transportation intermediary as defined under 49 CFR Part 371 and 49 USC 13102. The Service facilitates access to your own loadboard subscriptions; it does not independently arrange or provide transportation services.
UC Bureau is NOT a safety consultant. Safety compliance monitoring features are informational tools and do not constitute professional safety consulting services. You must engage a qualified safety consultant for safety-related decisions.
UC Bureau does NOT provide professional advice of any kind, including legal advice, tax advice (pursuant to IRS Circular 230, any tax-related output from the Service is not intended or written to be used, and cannot be used, for the purpose of avoiding penalties under the Internal Revenue Code or promoting, marketing, or recommending any transaction or matter addressed herein), financial advice, accounting advice, or safety consulting services.
7. AI-Generated Content Disclaimer
THE SERVICE USES ARTIFICIAL INTELLIGENCE, INCLUDING LARGE LANGUAGE MODELS (CURRENTLY GPT-4o-mini), TO GENERATE RECOMMENDATIONS, ANALYSIS, AND RESPONSES. AI-GENERATED CONTENT IS PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL ADVICE. AI OUTPUTS MAY CONTAIN INACCURACIES, ERRORS, HALLUCINATIONS, OMISSIONS, OR OUTDATED INFORMATION. YOU MUST INDEPENDENTLY VERIFY ALL AI-GENERATED INFORMATION BEFORE RELYING ON IT FOR ANY DECISION.
8. Third-Party Integrations
The Service connects to third-party platforms using credentials and API keys that you voluntarily provide. Third-party integrations include, but are not limited to: Telegram FZ-LLC (messaging platform), Motive (ELD provider), Samsara (ELD provider), Intuit Inc. (QuickBooks), DAT Solutions LLC (loadboard), Truckstop.com Inc. (loadboard), and the Federal Motor Carrier Safety Administration (FMCSA).
UC Bureau is not affiliated with, endorsed by, or a partner of any third-party service provider unless explicitly stated. We do not control and are not responsible for: (a) the availability, uptime, accuracy, or reliability of any third-party service; (b) changes to third-party APIs, terms of service, pricing, or functionality; (c) any loss, damage, or liability arising from the use of or inability to use any third-party service; or (d) any actions taken by third-party providers regarding your account.
9. Data Ownership
You retain all ownership rights to the data you provide to the Service ("Your Data"). By using the Service, you grant UC Bureau a limited, non-exclusive, revocable license to process, store, and transmit Your Data solely for the purpose of providing the Service.
UC Bureau may use anonymized, aggregated data derived from Your Data for purposes of improving the Service, generating industry benchmarks, and conducting research, provided that such aggregated data meets a k-anonymity threshold of at least twenty (20), meaning no individual carrier can be identified from the aggregated dataset. We do not sell, rent, or commercially exploit Your Data in individually identifiable form.
10. Prohibited Use
You shall not: (a) use the Service for any unlawful purpose or in violation of any applicable law or regulation; (b) attempt to reverse engineer, decompile, or disassemble the Service; (c) interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, or networks; (d) abuse, overload, or misuse the Service's API endpoints or AI messaging systems; (e) use the Service to transmit malware, viruses, or harmful code; (f) resell, sublicense, or provide access to the Service to any third party without prior written consent; (g) use the Service to engage in fraudulent, deceptive, or illegal transportation practices; or (h) use automated means (bots, scrapers, crawlers) to access the Service except through our provided APIs.
11. Payment and Billing
Paid subscriptions are processed through Stripe, Inc. By subscribing to the Paid tier, you authorize recurring charges to your designated payment method. Subscriptions renew automaticallyat the end of each billing cycle unless canceled before the renewal date. In accordance with the California Automatic Renewal Law (Cal. Bus. & Prof. Code sections 17600-17606), we provide clear and conspicuous disclosure of the automatic renewal terms, cancellation policy, and the recurring charge amount before you subscribe.
The Paid tier includes a fourteen (14) day free trial. If you do not cancel before the trial period ends, your payment method will be charged automatically. You may cancel at any time through the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
12. Termination and Suspension
Either party may terminate this agreement at any time. You may terminate by canceling your subscription and ceasing use of the Service. We may terminate or suspend your access immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, fail to pay fees when due, or if continued provision of the Service becomes impractical due to circumstances beyond our reasonable control.
Upon termination, your right to use the Service ceases immediately. Your Data will be retained for ninety (90) calendar days following termination, during which time you may request an export. After 90 days, Your Data will be permanently deleted.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UC BUREAU'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) FIVE HUNDRED UNITED STATES DOLLARS ($500.00); OR (B) THE TOTAL FEES ACTUALLY PAID BY YOU TO UC BUREAU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL UC BUREAU BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPLIANCE VIOLATIONS, FINES, PENALTIES, MISSED LOADS, INCORRECT RATES, OR EQUIPMENT DAMAGE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR UC BUREAU WAS ADVISED OF THEIR POSSIBILITY.
14. Indemnification
Mutual Indemnification.Each party ("Indemnifying Party") agrees to indemnify, defend, and hold harmless the other party and its officers, directors, employees, and agents ("Indemnified Party") from and against any third-party claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of the Indemnifying Party's breach of these Terms or violation of applicable law.
Carrier's Additional Indemnification. You additionally agree to indemnify UC Bureau from claims arising out of: (a) your motor carrier operations; (b) your reliance on AI-generated content; (c) your failure to maintain regulatory compliance; (d) claims by shippers, brokers, consignees, drivers, or any third party related to your operations.
Indemnification Cap.Total indemnification obligations under this section are subject to the liability cap in Section 13. Notwithstanding the foregoing, neither party shall be required to indemnify the other for claims arising out of the Indemnified Party's own negligence, willful misconduct, or material breach of these Terms.
15. Dispute Resolution and Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator. The governing law and seat of arbitration shall be Delaware.
Class Action Waiver.YOU AGREE THAT ANY CLAIMS SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
30-Day Opt-Out. You may opt out of this arbitration agreement by sending written notice to admin@ucbureau.com within thirty (30) days of first accepting these Terms. The opt-out notice must include your name, company name, MC/USDOT number, and a clear statement that you decline arbitration.
Telephonic Hearings. For disputes where the amount in controversy is less than ten thousand dollars ($10,000), the arbitration shall be conducted telephonically unless the arbitrator determines that an in-person hearing is necessary.
Fee Allocation. For disputes where the amount in controversy is less than five thousand dollars ($5,000), UC Bureau shall pay all AAA filing fees and arbitrator compensation. For all other disputes, AAA fee allocation rules apply.
Delegation Clause. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or any part of this arbitration agreement is void or voidable.
Injunctive Relief Carve-Out. Notwithstanding the foregoing, either party may seek temporary injunctive or other provisional relief in any court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.
16. Credential Breach Protocol
If UC Bureau becomes aware of an unauthorized access to, or breach of, third-party credentials (API keys, OAuth tokens, or account passwords) stored within the Service, UC Bureau will notify affected carriers within seventy-two (72) hours of confirming the breach. Notification will include the nature of the breach, the categories of credentials affected, and recommended remediation steps, including immediate credential rotation. You are responsible for promptly rotating any compromised credentials.
17. Intellectual Property
UC Bureau retains all intellectual property rights in the Service, including its software, design, AI models, and documentation. UC Bureau does not claim any intellectual property rights over AI-generated outputs provided to you through the Service. You grant UC Bureau authorization to use anonymized, aggregated data as described in Section 9 (Data Ownership).
18. Force Majeure
UC Bureau shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, government actions, war, terrorism, labor disputes, power or internet outages, cyberattacks, or outages or disruptions to third-party services including Telegram FZ-LLC, FMCSA systems, DAT, Truckstop, Motive, Samsara, Intuit (QuickBooks), OpenAI, Stripe, or Vercel.
19. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that any lawsuit or court proceeding is permitted hereunder, you consent to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware.
20. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed. The remaining provisions shall continue in full force and effect.
21. Entire Agreement
These Terms, together with the Privacy Policy and Liability Disclaimer, constitute the entire agreement between you and UC Bureau regarding the Service and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral. No modification of these Terms shall be effective unless made in writing and posted to this page.
