This Liability Disclaimer is a legally binding document. By using the UC Bureau Back Office Agent, you acknowledge that you have read, understood, and agree to the limitations and disclaimers set forth below. If you do not agree, you must immediately cease all use of the Service.
1. AS-IS Warranty Disclaimer
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. UC BUREAU EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
UC BUREAU DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (C) THE SERVICE WILL MEET YOUR REQUIREMENTS; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED.
2. AI Limitations
The Service uses artificial intelligence, including large language models (LLMs), which are inherently probabilistic systems. LLMs can "hallucinate" — that is, they may generate content that appears confident and authoritative but is factually incorrect. AI-generated outputs may contain factual errors, logical inconsistencies, omissions, outdated information, or misinterpretations of your data or queries.
AI-generated content is NOT a substitute for professional judgment, expertise, or due diligence. You must independently verify all AI-generated recommendations, calculations, compliance assessments, rate analyses, and operational suggestions before acting on them. UC Bureau shall not be held liable for any decision you make, or fail to make, based on AI-generated content.
3. Not Professional Advice
THE SERVICE DOES NOT PROVIDE AND SHALL NOT BE CONSTRUED AS PROVIDING LEGAL ADVICE, TAX ADVICE, FINANCIAL ADVICE, ACCOUNTING ADVICE, OR SAFETY CONSULTING SERVICES.
Tax Disclaimer (IRS Circular 230): In accordance with IRS Circular 230, any tax-related information, estimates, or outputs provided by the Service are not intended or written to be used, and cannot be used, for the purpose of (a) avoiding penalties under the Internal Revenue Code, or (b) promoting, marketing, or recommending to another party any transaction or matter addressed herein. You should consult a qualified tax professional for tax advice specific to your situation.
Compliance monitoring features, safety alerts, permit expiration reminders, insurance tracking, and similar tools are informational aids only. You are solely responsible for consulting qualified professionals (attorneys, CPAs, compliance consultants, insurance brokers) for advice specific to your operations.
4. Not a Freight Broker
UC Bureau is NOT a licensed freight broker, freight forwarder, or transportation intermediary as defined under 49 CFR Part 371 and 49 USC 13102. UC Bureau does not hold freight broker authority, does not arrange transportation for compensation, and does not act as an intermediary between shippers and carriers. The Service facilitates access to your own loadboard subscriptions (DAT, Truckstop); it does not independently arrange or provide transportation services.
5. Not a Safety Consultant
UC Bureau is NOT a safety consultant. Safety compliance features within the Service — including FMCSA monitoring, ELD data review, inspection tracking, and permit management — are automated monitoring tools, not professional safety consulting services. These features do not replace the need for qualified safety professionals. UC Bureau does not perform safety audits, does not represent carriers before the FMCSA, and does not provide safety ratings assessments.
6. Third-Party Independence
UC Bureau has no ownership, control, affiliation, or partnership with Telegram FZ-LLC, DAT Solutions LLC, Truckstop.com Inc., Gomotive (Motive), Samsara Inc., Intuit Inc. (QuickBooks), OpenAI, Stripe Inc., Brevo (Sendinblue), Vercel Inc., Sentry, or any other third-party service provider, unless explicitly stated otherwise. All third-party product names, logos, and trademarks are the property of their respective owners.
7. FMCSA Compliance Responsibility
YOU BEAR FULL AND SOLE RESPONSIBILITY FOR COMPLIANCE WITH ALL APPLICABLE FEDERAL MOTOR CARRIER SAFETY ADMINISTRATION (FMCSA) REGULATIONS AND ALL OTHER FEDERAL, STATE, AND LOCAL TRANSPORTATION LAWS. This includes maintaining valid operating authority, Hours of Service compliance, ELD mandate requirements, driver qualification standards, vehicle maintenance standards, insurance requirements, and all applicable registrations (IFTA, IRP, UCR). The Service's compliance monitoring features are informational aids and do not replace your obligation to independently ensure full regulatory compliance.
8. FMCSA Data Accuracy
Data retrieved from FMCSA public databases (including carrier profiles, safety snapshots, inspection history, and crash data) may be delayed, incomplete, or inaccurate. FMCSA data is provided by the federal government and is subject to processing delays, reporting lags, and data entry errors at the source. UC Bureau does not control FMCSA data and makes no warranty regarding its accuracy, completeness, or timeliness. You must verify all FMCSA-related information directly with the FMCSA or through official FMCSA systems.
9. Dispatch Data Accuracy
Load availability, rate information, lane data, and other dispatch-related data retrieved from loadboard APIs (DAT, Truckstop) may be stale, inaccurate, or no longer available by the time you act on it. Load postings may be booked by other carriers between the time the data is retrieved and the time you respond. Rate information is historical or estimated and does not guarantee future rates. UC Bureau shall not be liable for missed loads, incorrect rates, or any losses arising from stale or inaccurate dispatch data.
10. Accounting Data Accuracy
Accounting features within the Service — including IFTA mileage estimation, fuel tax calculations, expense categorization, and profit-and-loss reporting — are estimates only and are not a substitute for professional accounting services.
IRS Circular 230 Notice: Any tax estimates, IFTA calculations, or tax-related outputs provided by the Service are not intended or written to be used, and cannot be used, for the purpose of avoiding penalties under the Internal Revenue Code or promoting, marketing, or recommending any transaction or matter addressed herein. You must consult a qualified tax professional for all tax filing and compliance obligations.
11. Collections Disclaimer
The Collections Agent provides accounts receivable tracking, aging reports, and automated payment reminders. UC Bureau does not guarantee collection of any outstanding amounts. The Collections Agent is not a debt collection agency, does not engage in debt collection activities as defined by the Fair Debt Collection Practices Act (FDCPA), and does not provide legal representation. If you require debt collection services or legal action to recover unpaid invoices, you must engage a licensed collection agency or attorney.
12. Financial Accuracy
All financial calculations, projections, profitability analyses, and cost estimates provided by the Service are estimates only. They may contain errors due to data entry inaccuracies, synchronization delays, rounding, algorithmic limitations, or incomplete data. UC Bureau is not a Certified Public Accountant (CPA), bookkeeper, tax preparer, or financial advisor. You are solely responsible for the accuracy of your financial records and tax filings.
13. Data Accuracy
All data displayed by the Service — whether entered by you, retrieved from third-party APIs, or generated by AI — is provided without warranty of accuracy, completeness, timeliness, or reliability. Data from third-party sources may be delayed, incomplete, inaccurate, or unavailable due to factors beyond UC Bureau's control. You must not rely solely on data displayed by the Service without independent verification from the original source.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UC BUREAU'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE, THESE DISCLAIMERS, THE TERMS OF SERVICE, OR THE PRIVACY POLICY SHALL NOT EXCEED THE GREATER OF: (A) FIVE HUNDRED UNITED STATES DOLLARS ($500.00); OR (B) THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO UC BUREAU DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE DATE OF THE FIRST EVENT GIVING RISE TO LIABILITY.
15. Exclusion of Damages
IN NO EVENT SHALL UC BUREAU, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY: CONSEQUENTIAL DAMAGES, INCIDENTAL DAMAGES, SPECIAL DAMAGES, EXEMPLARY DAMAGES, PUNITIVE DAMAGES, LOST PROFITS OR REVENUE, LOST BUSINESS OPPORTUNITIES, LOST OR CORRUPTED DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COST OF SUBSTITUTE SERVICES, COMPLIANCE VIOLATIONS, FINES, PENALTIES, REGULATORY ACTIONS, MISSED OR DAMAGED LOADS, INCORRECT RATES, VEHICLE DAMAGE, ACCIDENTS, INJURIES, OR ANY OTHER DAMAGES ARISING FROM THE USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR UC BUREAU WAS ADVISED OF THEIR POSSIBILITY.
16. Indemnification
Indemnification obligations are set forth in Section 14 of the Terms of Service. By using the Service, you agree to the mutual indemnification terms described therein, including the carrier's additional indemnification obligations and the indemnification cap. Neither party is required to indemnify the other for claims arising from the Indemnified Party's own negligence or willful misconduct.
17. Force Majeure
Force majeure provisions are set forth in Section 18 of the Terms of Service. UC Bureau shall not be liable for failures or delays caused by circumstances beyond its reasonable control, including outages of third-party services such as Telegram FZ-LLC, FMCSA systems, DAT, Truckstop, Motive, Samsara, QuickBooks, OpenAI, Stripe, or Vercel.
18. Severability
If any provision of this Disclaimer is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent. If modification is not possible, the provision shall be severed. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.
19. Acknowledgment
BY CREATING AN ACCOUNT, ACCESSING, OR USING THE UC BUREAU BACK OFFICE AGENT IN ANY MANNER, YOU ACKNOWLEDGE THAT: (A) YOU HAVE READ AND UNDERSTOOD THIS LIABILITY DISCLAIMER IN ITS ENTIRETY; (B) YOU AGREE TO BE BOUND BY ALL LIMITATIONS, DISCLAIMERS, AND EXCLUSIONS SET FORTH HEREIN; (C) YOU UNDERSTAND THAT THE SERVICE IS AN AI-POWERED TOOL AND NOT A SUBSTITUTE FOR PROFESSIONAL JUDGMENT; (D) YOU ACCEPT FULL RESPONSIBILITY FOR ALL DECISIONS MADE IN CONNECTION WITH YOUR MOTOR CARRIER OPERATIONS; AND (E) YOU WAIVE ANY CLAIMS AGAINST UC BUREAU THAT ARE INCONSISTENT WITH THIS DISCLAIMER TO THE MAXIMUM EXTENT PERMITTED BY LAW.
This Disclaimer is incorporated into and forms part of the Terms of Service. In the event of a conflict between this Disclaimer and the Terms of Service, the provision that provides greater protection to UC Bureau shall control.
